1. Acceptance of Terms

By accessing or using any service, platform, or domain operated by KaratX - Profit Plug, including getkaratx.com, app.getkaratx.com, and getkaratx.in (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

If you are registering or using the Platform on behalf of a business, organisation, or any other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity.

You must be at least 18 years of age to use any part of the Platform. By using the Platform, you confirm that you meet this requirement.

2. About KaratX

KaratX is a cloud-based SaaS platform designed for jewellery business management in India. It is owned and operated by Profit Plug, a proprietorship firm registered at:

Ratlam, Madhya Pradesh - 457001, India

The Platform provides tools for inventory management, order processing, karigar workflow management, customer scheme and loyalty management, billing, multi-outlet operations, and related business functions for jewellers.

KaratX is offered on a subscription basis. Features and modules available to a subscriber depend on the active subscription plan.

3. User Classes and Applicability

These Terms apply to:

Jeweller Subscribers ("Subscribers"):
Shop owners or authorised representatives who register a business account on KaratX and access the platform at app.getkaratx.com.

Jewellers' Customers ("Portal Users"):
End-customers of Subscribers who access the KaratX customer portal at getkaratx.in to view their scheme, loyalty, order, or transaction records.

Website Visitors:
Any individual who visits getkaratx.com without registering or logging in.

Where a clause applies specifically to one user class, it is clearly indicated. All other clauses apply universally.

4. Account Registration and Responsibilities

4.1 Registration

To access the Subscriber platform, you must register a business account by providing accurate, complete, and current information including shop name, owner details, mobile number, email address, and GSTIN where applicable.

You agree to keep your registration information updated at all times.

4.2 Account Security

You are solely responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Immediately notifying us at privacy@getkaratx.in if you suspect unauthorised access to your account

KaratX - Profit Plug will not be liable for any loss or damage arising from your failure to maintain account security.

4.3 Staff Accounts

Subscribers may create staff accounts within their KaratX account. The Subscriber is fully responsible for:

All actions taken by staff users operating under the Subscriber's account
Ensuring staff comply with these Terms
Revoking staff access when employment or association ends

KaratX - Profit Plug bears no responsibility for actions taken by staff users under a Subscriber's account.

4.4 One Account Per Business

Each jewellery business may maintain one Subscriber account. Multiple outlets of the same business must be managed under a single account using the multi-outlet functionality provided within the Platform.

5. Subscriptions, Billing, and Refunds

5.1 Subscription Plans

Access to the KaratX Subscriber platform requires a paid subscription. Plans are offered on Quarterly, Half-Yearly, and Yearly billing cycles. The features and modules available to a Subscriber depend on the plan selected.

5.2 Billing

Subscription payments are processed through Razorpay. By subscribing, you authorise Profit Plug to charge the applicable subscription fee to your chosen payment method via Razorpay.

You are responsible for ensuring your payment details are accurate and your payment method remains valid.

5.3 Pricing Changes

We reserve the right to revise subscription pricing at any time. Price changes will be communicated with a minimum of 30 days' notice to the registered email address of the Subscriber. Continued use of the Platform after the effective date of a price change constitutes acceptance of the revised pricing.

5.4 Refund Policy

All subscription payments are non-refundable.

No refunds will be issued for any reason including but not limited to:

Early cancellation of a subscription
Partial use of a subscription period
Dissatisfaction with the Platform or any feature
Downtime, technical issues, or service interruptions

Plan Upgrades: If a Subscriber upgrades from a lower plan to a higher plan before the current plan period expires, the unused value of the remaining days on the current plan will be calculated on a pro-rata basis and applied as a credit adjustment against the total cost of the upgraded plan. No cash refund will be issued under any circumstance.

5.5 Subscription Lapse and Access Suspension

If a subscription payment fails or a subscription is not renewed, access to the Subscriber platform will be suspended. Data associated with the account will be retained in accordance with our data retention policy as described in the Privacy Policy. Profit Plug is not liable for any business disruption resulting from subscription lapse or access suspension.

6. Subscriber Obligations and Data Responsibilities

6.1 Accuracy of Data

Subscribers are solely responsible for the accuracy, completeness, and legality of all data entered into the Platform, including customer records, inventory data, financial entries, karigar records, and any other business data.

KaratX - Profit Plug does not verify, audit, or validate data entered by Subscribers. The Platform displays data as entered.

6.2 Customer Data and Consent

Subscribers who input data relating to their own customers ("customer data") represent and warrant that:

They have obtained all necessary consents and permissions from their customers to collect, store, and process such data
Their collection and use of customer data complies with all applicable laws including the Digital Personal Data Protection Act, 2023
They have a lawful basis for inputting each category of customer data into the Platform

Profit Plug acts solely as a data processor with respect to customer data entered by Subscribers. The Subscriber is the data controller for such data and bears full responsibility for its lawfulness.

6.3 Compliance with Law

Subscribers are responsible for ensuring their use of KaratX complies with all laws, regulations, and licences applicable to their business, including GST regulations, consumer protection laws, and labour laws. KaratX is a business management tool and does not constitute legal, tax, financial, or compliance advice.

6.4 Not a Financial or Legal Advisor

Nothing on the Platform constitutes legal, financial, tax, or accounting advice. Any reports, ledger entries, calculations, or data outputs generated by the Platform are based solely on data entered by the Subscriber. Profit Plug is not responsible for any business, financial, or legal decisions made on the basis of Platform data.

7. Acceptable Use

You agree not to use the Platform to:

Violate any applicable law, regulation, or third-party rights
Input, store, or transmit data to which you do not have legal rights
Upload or transmit malicious code, viruses, or harmful content
Attempt to gain unauthorised access to any part of the Platform or its infrastructure
Reverse engineer, decompile, scrape, or extract any part of the Platform
Share your login credentials with unauthorised individuals
Interfere with or disrupt the Platform or its servers
Use the Platform to defraud, harass, or harm any person
Use automated tools to access the Platform without prior written consent

We reserve the right to suspend or terminate accounts that violate this section without prior notice and without liability.

8. Intellectual Property

8.1 Ownership

The KaratX platform, including its name, logo, design, code, features, content, and all associated intellectual property, is owned exclusively by KaratX - Profit Plug. All rights are reserved.

Nothing in these Terms transfers any intellectual property rights to you.

8.2 Your Data

Subscribers retain full ownership of the business data they input into the Platform. You grant Profit Plug a limited, non-exclusive, royalty-free licence to store, process, and use your data solely for the purpose of delivering the Platform services to you. This licence terminates upon account deletion, subject to the data retention policy.

8.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform, you grant Profit Plug the right to use such feedback without restriction or compensation to you.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

9.1 No Liability For

Profit Plug and KaratX shall not be liable for:

Loss or corruption of data caused by Subscriber error, accidental deletion, or actions of Subscriber staff
Business decisions made on the basis of data, reports, or outputs generated by the Platform
Losses arising from subscription lapse, access suspension, or service unavailability
Failures, delays, or errors caused by third-party services including Razorpay, SMSAlert, Interakt, Resend, or any other processor
Unauthorised access to Subscriber accounts resulting from the Subscriber's failure to maintain account security
Any indirect, consequential, incidental, special, or punitive damages of any kind

9.2 Aggregate Liability Cap

In all cases where liability cannot be fully excluded, the total aggregate liability of Profit Plug and KaratX to any Subscriber shall not exceed the total subscription fees paid by that Subscriber in the three months immediately preceding the event giving rise to the claim.

9.3 Platform Provided As-Is

The Platform is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the Platform's fitness for a particular purpose, uninterrupted availability, or freedom from errors or bugs.

10. Indemnification

You agree to indemnify, defend, and hold harmless Profit Plug, KaratX, and their respective personnel from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from or related to:

Your use of the Platform or violation of these Terms
Data you have entered into the Platform, including customer data
Claims brought by your customers, staff, or third parties in connection with your use of KaratX
Your violation of any applicable law or regulation
Any action or omission of your staff users operating under your account

11. Service Availability

We make reasonable efforts to maintain Platform availability. However, we do not guarantee uninterrupted or error-free access to the Platform.

The Platform may be temporarily unavailable due to:

Scheduled maintenance, for which we will endeavour to provide advance notice
Unplanned technical issues or outages
Circumstances beyond our reasonable control

Downtime or service interruptions do not entitle Subscribers to any refund, credit, or compensation unless explicitly offered by Profit Plug at its sole discretion.

12. Termination

12.1 Termination by Subscriber

Subscribers may close their account at any time by contacting privacy@getkaratx.in. Account closure does not entitle the Subscriber to any refund for the unused portion of a subscription period.

12.2 Termination by Profit Plug

We reserve the right to suspend or terminate any account:

Immediately and without notice for violation of these Terms, illegal activity, or misuse of the Platform
With 30 days' notice for any other reason at our sole discretion

12.3 Effect of Termination

Upon termination:

Access to the Platform is immediately revoked
Data is retained and deleted in accordance with the retention policy described in the Privacy Policy
Clauses that by their nature survive termination, including intellectual property, limitation of liability, indemnification, and governing law, remain in full force

13. Modifications to the Platform and Terms

13.1 Platform Changes

We reserve the right to add, modify, or remove features, modules, or functionality at any time. We will make reasonable efforts to communicate significant changes to active Subscribers.

13.2 Changes to These Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated to registered Subscriber accounts. Continued use of the Platform after any modification to these Terms constitutes acceptance of the revised Terms.

The current version of these Terms is always available at getkaratx.com/policies/terms-of-service.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of India.

In the event of any dispute arising from or related to these Terms or your use of the Platform, the parties agree to first attempt to resolve the dispute informally by contacting privacy@getkaratx.in. If the dispute is not resolved within 30 days of such notice, it shall be subject to the exclusive jurisdiction of the courts of Ratlam, Madhya Pradesh, India.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Profit Plug with respect to your use of the Platform and supersede all prior agreements, representations, or understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.3 No Waiver

Failure by Profit Plug to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Force Majeure

Profit Plug shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, government actions, internet or infrastructure failures, cyberattacks, or any other event outside our reasonable control.

15.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from Profit Plug. Profit Plug may assign its rights and obligations under these Terms without restriction.
